The "Sons of Anarchy Party Shots Contest" (the "Contest") is intended for participation only in the 50 United States and D.C. and shall be construed according to, and governed exclusively by, United States law. Do not participate in the Contest if you are not a legal resident of the United States physically located in the United States at the time of entry, or do not fall within the eligibility requirements set forth in the Official Rules below. "Sons of Anarchy Party Shots Contest" OFFICIAL RULES NO PURCHASE NECESSARY TO ENTER OR WIN DESCRIPTION OF THE CONTEST: The "Sons of Anarchy Party Shots Contest" (the "Contest") is sponsored by FX Networks, LLC, 10201 W. Pico Blvd. Bldg 103, Los Angeles, CA 90035 ("Sponsor"). The Contest is a competition related to the television program entitled "Sons of Anarchy" (the "Program"). The winner of the Contest will receive a Grand Prize Package as more specifically described below. The Contest begins at 12:01 a.m. Eastern Time ("ET") on September 8, 2009 and ends at 11:59 p.m. ET on December 2, 2009 (the "Contest Period"). Sponsor will select the Contest winner in accordance with the procedures set forth below and will announce such winner on or about December 15, 2009. By participating in the Contest, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Sponsor, which shall be final and binding in all respects. WHO MAY ENTER: The Contest is open only to those legal residents of the 50 United States and the District of Columbia who are 18 years of age or older at the time of entry. Directors, officers and employees, and their immediate family members, or those living in the same household as such directors, officers and employees, of Sponsor or their respective parent, affiliated, or subsidiary companies, agents or representatives (collectively "Promotion Entities") are not eligible to enter or win. The Contest is void where restricted or prohibited by law. HOW TO ENTER/VOTE: To participate in the Contest, visit the website www.fxnetworks.com/soa (the "Website"), complete the registration form found on the Website with the information requested, and follow the online instructions to upload and submit a photograph depicting a "Sons of Anarchy" themed party along with a description. Registration with the Website is required to enter a submission. There is no cost to register with the Website. Entries become the exclusive property of Sponsor and will not be returned or acknowledged. SUBMISSION REQUIREMENTS: Each photograph that is entered into the Contest must meet ALL of the "Submission Requirements" set forth below to be considered (a photograph that meets all such requirements will be referred to as a "Submission"): (i) The photograph with description must depict a "Sons of Anarchy" themed party, and must feature the submitting entrant; (ii) the photograph must be the submitting entrant's original, previously unpublished work and not contain any third-party copyrighted material (including without limitation, copyrighted images, corporate branding, or signage); (iii) the submitting entrant should be able to provide on request all appropriate clearances, permissions and releases for the Submission, including releases from all persons appearing in the photograph, location releases for all recognizable locations, and releases from anyone who assisted in the creation of the photograph (in the event a submitting entrant cannot provide all required releases, Sponsor reserves the right, in Sponsor's sole discretion, to disqualify the applicable Submission, or seek to secure the releases and clearances for Sponsor's benefit, or allow the applicable Submission to remain in the Contest); (iv) the photograph may not feature nudity, obscene or violent images or material that is libelous or defamatory. Sponsor reserves the right, in its sole and absolute discretion, to disqualify any Submission that violates the above criteria. Submissions must be received before the end of the Submission Period, and the Website's database clock will be the official timekeeper for this Contest. Participation or being named a winner in the "Sons of Anarchy Party In A Box Giveaway" or use of a "Sons of Anarchy Party Kit" is not required for entry or participation in this Contest. WINNER SELECTION / JUDGING: Throughout the Contest Period, Sponsor will review the submissions for eligibility. All submissions not in violation of the rules will be displayed on the website, from which, at the end of the Contest Period, Sponsor will select (1) one winning Submission (the "Winning Submission"). Sponsor will judge all eligible Submissions entered to select the winning photograph based on the following criteria: Execution of Theme (e.g., demonstrating a "Sons of Anarchy" themed party) (40%), Fan Creativity (30%) & Originality (30%). The determination of the Winning Submission shall be made by Sponsor in its sole discretion, and such determination shall be final and binding and will not be subject to challenge or appeal. PRIZE: One (1) Grand Prize is available. The Grand Prize consists of a trip for two (2) to Los Angeles, California to attend the official Los Angeles Screening and Premiere Party for "Sons of Anarchy" Season 3. Trip includes round-trip coach class air transportation for Winner and guest from a major commercial airport nearest the Winner’s primary residence to Los Angeles, California; double occupancy standard hotel accommodations for three (3) days/two (2) nights and a 50" 1080p plasma television (brand and style to be determined by Sponsor in its sole discretion. The approximate retail value ("ARV") of the Grand Prize Package is Four Thousand, Eight Hundred Dollar ($4800.00). Actual value of the Grand Prize Package may vary depending on the Winning Contestant's city of departure and fare fluctuations. Winner and guest must be able to travel to Los Angeles, California on specified travel dates to coincide with the Sons of Anarchy Season Premiere Party. Winners not able to travel on the specified date will forfeit the prize and an alternate Winner will be selected from all eligible entries received. Winner and guest must travel on the same itinerary. The Winning Contestant will not receive cash or any other form of compensation if actual travel costs are less than the estimate made in these Official Rules. All travel, hotel and other arrangements must be made through Sponsor. Grand Prize Package is non-transferable, non-extendable, and non-exchangeable. Other travel/accommodation restrictions may apply. Sponsor is not responsible for travel delays or cancellations. The Winning Contestant must comply with all hotel check-in requirements, if applicable, including but not limited to the presentation of a major credit card. Flight insurance, travel insurance, gratuities, personal expenses and all other expenses not specified as being awarded herein are the sole responsibility of the Winning Contestant. Changes not permitted after ticket issue. Air tickets are not valid for upgrades and/or frequent flyer miles. All tickets are subject to the vagaries of flight variation, work stoppages, and schedule or route changes. In the event Winning Contestant engages in behavior that (as determined by Sponsor in Sponsor's sole discretion) is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the trip or applicable experience early, and send the Winning Contestant home with no further compensation. If the closest airport to the Grand Prize winner’s home is in close enough proximity to the city where the premiere party is being held, Sponsor may determine in its sole discretion, a flight is unnecessary, prize will not include air transportation from Grand Prize winner’s residence to the city where the photo shoot or other event is being held, and no other substitution or compensation will be provided in lieu thereof. In the event that a prize component is not available for any reason, then remaining elements of prize shall constitute full satisfaction of Sponsor’s prize obligation to Winner and no additional compensation will be awarded. GENERAL PRIZE CONDITIONS: Prize will be awarded only if the potential winner fully complies with these Official Rules. All costs, including federal, state and local taxes, meals, insurance, and other expenses not specifically identified as included in the prize, are the sole responsibility of the winner. No transfer, assignment, cash redemption or substitution of prizes (or portion of prize) except by Sponsor due to prize unavailability and then for a prize (or applicable portion of prize) of equal or greater value as determined by Sponsor. In the event that a prize component is not available for any reason, then remaining elements of prize shall constitute full satisfaction of Sponsor’s prize obligation to a Winner and no additional compensation will be awarded. All details and other restrictions of prizes not specified in these Official Rules will be determined by Sponsor in its sole discretion. RULES GOVERNING POTENTIAL WINNERS: The potential Winning Contestant will be notified by e-mail following Sponsor's determination of winner and/or by regular mail and/or by telephone promptly following the winner selection. It is the sole responsibility of each entrant to notify Sponsor in writing if the entrant changes his/her e-mail address or other contact information by writing to "FX Networks – SOA Party Shots Contest", 10201 W. Pico Blvd. Bldg. 103, Los Angeles, California 90035. The Promotion Entities shall have no liability for any winner notification that is lost, intercepted or not received by the potential winner for any reason. Winners may be required to execute and return an Affidavit of Eligibility, Liability/Publicity Release and a program participation/services agreement in Sponsor's customary form ("Participation Agreement") within seven (7) days following the date of attempted notification. If a selected winner cannot be contacted, is ineligible, fails to claim a prize, and/or fails to return any Affidavit of Eligibility and Liability/Publicity Release (if required), along with the Participation Agreement, within the applicable time period, Sponsor may elect to disqualify the selected winner, who will then forfeit his or her right to receive the Prize Package, and an alternate winner may be selected. All prizes will be awarded. By accepting a prize, the Winning Contestant agrees that Sponsor may, without any limitation or further compensation, use his or her name, screen name, voice and/or likeness in any and all media now known or hereafter developed, in perpetuity, for the purpose of advertising and promoting the Website, the Contest, the Program or any other promotion, contest or sweepstakes sponsored by the Promotion Entities. DATES & DEADLINES / ANTICIPATED NUMBER OF CONTESTANTS. Because of the unique nature and scope of the Contest, Sponsor reserves the right, in addition to those other rights reserved herein, to modify any date(s) or deadline(s) set forth in these Official Rules or otherwise governing the Contest. Sponsor cannot accurately predict the number of Contestants who will participate in the Contest. OWNERSHIP. By entering your Submission in the Contest, you acknowledge and agree that: (a) Sponsor will own all Submissions entered by you in the Contest or otherwise uploaded to the Website. Each entrant into the Contest hereby irrevocably grants, transfers, sells, assigns and conveys to the Sponsor, its successors and assigns, all present and future right, title and interest of every kind and nature whatsoever in and to the Submission(s) for exploitation throughout the universe, in perpetuity, by means of any and all media and devices whether now known or hereafter devised (the "Rights"). Sponsor shall have the right, in its sole discretion, to edit, composite, morph, scan, duplicate, or alter, the Submission(s) for any purpose which Sponsor deems necessary or desirable, and each entrant irrevocably waives any and all so-called moral rights they may have in the Submission(s) submitted by him or her. Each entrant hereby acknowledges that such entrant does not reserve any rights in and to the Submissions. Sponsor shall have no obligation (express or implied) to use any Submission, or to otherwise exploit any Submission or, if commenced, to continue the distribution or exploitation thereof, and Sponsor may at any time abandon the use of the any Submission for any reason or no reason at all, and no contestant shall be entitled to any damages or other relief by reason thereof. REPRESENTATIONS AND WARRANTIES / INDEMNIFICATION. Each person who enters this Contest represents and warrants to Sponsor as follows: (i) the Submission is the entrant’s own original, previously unpublished, and previously unproduced work; (ii) the Submission is wholly original with entrant and as of the date of submission, is not the subject of any actual or threatened litigation or claim; (iii) the Submission neither infringes upon nor violates the intellectual property rights or other rights of any other person or entity; (iv) the Submission does not and will not violate any applicable laws, and meets the Submission Requirements set forth above. Each entrant hereby agrees to indemnify and hold the Promotion Entities harmless from and against any and all third party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations or agreements of entrant hereunder. IMPORTANT. PLEASE READ - GENERAL RELEASE AND LIMITATIONS ON LIABILITY. By entering the Contest, entrants agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with the Contest, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event will attorneys’ fees be awarded or recoverable; and (3) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby knowingly and expressly waives all rights to seek, punitive, incidental or consequential damages and/or any other damages, other than actual out of pocket expenses, and/or any and all rights to have damages multiplied or otherwise increased. Each entrant acknowledges and agrees that the Promotion Entities (1) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose, and (2) are not responsible for any costs, injuries, losses, or damages of any kind arising from or in connection with: (i) incomplete, lost, late, misdirected or illegible entries or for failure to receive entries due to any cause, including without limitation human, transmission, or technical problems, failures, or malfunctions of any kind, whether originating with sender, with FX Networks, or otherwise, that may limit an entrant’s ability to participate in the Contest; (ii) any injury or damage resulting from participation in the Contest and/or the use of any prize (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to, loss or destruction of property, or any claims, costs, injuries, losses, or damages related to or based on the entrant’s rights of publicity or privacy, or the entrant’s claim that he or she has somehow been defamed or portrayed in a false light. Promotion Entities assume no responsibility for any damage to an entrant’s computer system which is occasioned by accessing the Website or participating in the Contest, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature, or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserves the right at their sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Promotion or the Website, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Promotion, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted. In the event of a dispute as to the identity of the entrant, any on-line entry will be deemed submitted by the authorized account holder of the e-mail account from which it was sent, provided such account holder must still meet the eligibility requirements for the Promotion. The authorized account holder shall be the natural person to whom the applicable email address has been assigned by the Internet access provider, service provider, or other online organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. The potential winner may be requested to provide the Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry. If a dispute cannot be resolved to Sponsor’s satisfaction, the entry will be deemed ineligible. Sponsor reserves the right to modify, extend, suspend, or terminate the Promotion, in whole or in part, if they determine, at their sole discretion, that the Promotion or any particular Promotion drawing is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Promotion or particular Promotion drawing as contemplated herein. In the event the Sponsor is prevented from awarding prizes or continuing with the Promotion or a particular Promotion drawing as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health or other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis (e.g. SARS), order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a "Force Majeure" event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the Promotion in its entirety or the affected Promotion. If the Promotion or a particular Promotion is terminated before the designated end date, Sponsor will (if possible) select the winner in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. Only the type and quantity of prize described in these Official Rules will be awarded. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of the Sponsor. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. GOVERNING LAW. ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES, OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE CONTEST OR IN CONNECTION WITH ANY DESIGN SUBMISSION OR OTHER MATERIAL SUBMITTED IN CONNECTION WITH THE CONTEST, SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF CALIFORNIA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS. THE INVALIDITY OR UNENFORCEABILITY OF ANY PROVISION OF THESE RULES SHALL NOT AFFECT THE VALIDITY OR ENFORCEABILITY OF ANY OTHER PROVISION. IN THE EVENT THAT ANY PROVISION IS DETERMINED TO BE INVALID OR OTHERWISE UNENFORCEABLE OR ILLEGAL, THESE RULES SHALL OTHERWISE REMAIN IN EFFECT AND SHALL BE CONSTRUED IN ACCORDANCE WITH THEIR TERMS AS IF THE INVALID OR ILLEGAL PROVISION WERE NOT CONTAINED HEREIN. ARBITRATION PROVISION. By participating in this Contest, each entrant agree that any and all disputes the entrant may have with, or claims you may have against, the Promotion Entities relating to, arising out of or connected in any way with (i) the Contest, and/or (ii) the awarding or redemption of any prize, and/or (iii) the exploitation or use of any Submission or other material submitted in connection with the Contest, will be resolved individually and exclusively by final and binding arbitration. The arbitration will be conducted in accordance with the American Arbitration Association's ("AAA") Commercial Arbitration Rules as modified by the terms of this Agreement. If an entrant has any questions about the American Arbitration Association, or wishes to obtain a copy of the AAA’s rules and forms, such entrant may call (800) 778-7879 or visit the AAA’s website at www.adr.org. The arbitration shall take place in Los Angeles, California before a single arbitrator, selected pursuant to such rules, and shall be conducted on an expedited basis and in strict confidence. The arbitrator selected pursuant to these Official Rules shall be well acquainted with the entertainment industry, and shall not have the power to impose punitive damages. Each party hereby waives any and all rights and benefits which it might otherwise have or be entitled to under federal law or the laws of California or any other state to litigate any such dispute in court, it being the intention of the parties to arbitrate all such disputes. The arbitrator’s decision shall be controlled by the terms and conditions of these Official Rules, and any other agreements the applicable entrant may have entered into with Sponsor in connection with the Contest, and shall be final and binding, and shall provide for each party to bear its own costs of arbitration and attorneys’ fees. EACH PARTY EXPRESSLY WAIVES ANY RIGHT TO A JURY. Judgment upon the award of the arbitrator may be entered or enforced in any court of competent jurisdiction. If either party fails to appear at the hearing on the date designated in accordance with the rules of the American Arbitration Association, or shall otherwise fail to participate in the arbitration proceeding, the arbitrator is hereby empowered to proceed ex parte. If you do not agree to these requirements (or any other provision herein), do not participate in the Contest. If any part of this Arbitration Provision is deemed to be invalid or otherwise unenforceable or illegal, the balance of this Arbitration Provision shall remain in effect and shall be construed in accordance with its terms as if the invalid or illegal provision were not contained herein. LIST OF WINNERS: The name of the winner of this Contest will be posted on the Website once such winner has been selected. To obtain a copy of any legally-required winners’ list, send a self-addressed stamped envelope to Sons of Anarchy Party In a Box Giveaway Winner’s List, 10201 W. Pico Blvd., Los Angeles, CA 90035. All such requests must be received by October 30, 2009. Sponsor will respond within sixty (60) days of the receipt of your request.
